TERMS & CONDITIONS OF SERVICE
Interior Design Services – Aimee Smith Design

These Terms & Conditions apply to interior design, interior architecture, consultation, procurement and related services provided by Aimee Smith, trading as Aimee Smith Design ("Aimee Smith Design", "we", "us" or "our").
By accepting our quotation or instructing us to proceed with agreed services, you agree to these Terms & Conditions.
These Terms & Conditions should be read alongside the quotation, proposal or other written agreement provided for your Project.
1. Definitions
1.1 "Aimee Smith Design", "we", "us" or "our" refers to Aimee Smith, trading as Aimee Smith Design, a sole trader.
1.2 "Client", "you" or "your" refers to the individual, company or other entity engaging Aimee Smith Design.
1.3 "Project" refers to the agreed design services, supply of goods and related services described in our quotation, proposal or other written agreement.
1.4 "Quotation" refers to the written proposal or quotation setting out the agreed scope of services and fees for the Project.
2. Scope of Services
2.1 We provide interior design and interior architecture services for residential and commercial properties. Services may include concept design, space planning, specification, procurement, project coordination and project management.
2.2 Our services are provided for design, specification and coordination purposes. Unless expressly agreed in writing, we do not provide construction or contracting services.
2.3 The scope of services for each Project will be confirmed in writing before work begins, normally through a quotation or proposal.
2.4 Changes to the agreed brief, additional requirements or revisions that require significant additional work may incur additional fees. We will discuss any significant additional fees with you before proceeding.
2.5 Any services not specifically included within the agreed scope will be treated as additional services and may be subject to additional fees.
3. Fees and Project Stages
3.1 Fees may be divided into stages as set out in our Quotation.
3.2 Each stage is a separate service and does not automatically include subsequent stages.
3.3 Progression to a subsequent stage will require agreement between both parties.
3.4 Unless otherwise stated, our fees relate only to the services specifically described in the Quotation.
3.5 Where additional work is requested by the Client, we will, where reasonably practicable, confirm the additional fee before undertaking that work.
4. Invoicing and Payment
4.1 Invoices will be issued on completion of each agreed stage, or at the times specified in the Quotation.
4.2 Payment is due within 14 days of the invoice date unless otherwise agreed in writing.
4.3 We reserve the right to suspend work where an invoice remains unpaid after its due date, subject to any rights the Client may have under applicable law.
4.4 Interest may be charged on overdue payments at a rate of 4% above the Bank of England base rate, where permitted by law.
4.5 We reserve the right to recover reasonable costs incurred in recovering overdue payments where permitted by law.
5. VAT
5.1 Aimee Smith Design is not currently registered for VAT.
5.2 If we become required to register for VAT, VAT will be charged at the prevailing rate from the date we become liable to do so.
6. Statutory Fees and Approvals
6.1 Fees payable to Local Authorities or other statutory bodies, including planning applications, building warrants, building control fees and utility searches, are excluded unless specifically stated in our Quotation.
6.2 Where applicable, the Client is responsible for ensuring that all necessary statutory approvals, permissions and notifications are obtained before work commences on site.
6.3 We will provide reasonable design information or assistance where this forms part of our agreed scope. We are not responsible for delays caused by statutory authorities or by approvals not being obtained by the Client or other appointed parties.
7. External Consultants
7.1 Where specialist advice is required, including structural engineering, surveying, building services or other technical services, the relevant consultant will normally be appointed directly by the Client.
7.2 We may recommend suitable consultants or coordinate with consultants appointed by the Client, but we are not responsible for their professional advice, calculations, workmanship or services.
7.3 Where we appoint a consultant on behalf of the Client, the basis of that appointment and any associated fees will be confirmed in writing.
8. Structural and Building Works
8.1 Any structural alterations must be designed, checked and approved by an appropriately qualified Structural Engineer before construction begins.
8.2 Our drawings and design information do not constitute structural engineering design unless expressly stated otherwise.
8.3 We are not responsible for structural integrity or engineering matters that fall outside our agreed scope of services.
9. Supply of Goods and Products
9.1 We may source and procure goods and products on behalf of the Client where this forms part of our agreed services.
9.2 Product availability, prices and lead times are subject to change and may be affected by suppliers and manufacturers.
9.3 Where goods are procured through us, we will provide information about applicable costs, delivery arrangements and supplier terms where relevant.
9.4 Where we are acting as the Client's agent in procuring goods, the relevant supplier's terms may also apply.
9.5 We are not responsible for delays, discontinuation or failures caused by manufacturers, suppliers or delivery companies, except where such responsibility cannot lawfully be excluded.
9.6 Where goods are supplied directly by a third-party supplier, the supplier remains responsible for its contractual obligations relating to those goods.
9.7 Nothing in these Terms & Conditions affects any statutory rights the Client may have in relation to goods supplied.
10. Delivery and Storage
10.1 Delivery dates provided by us or suppliers are estimates unless a specific guaranteed delivery date has been agreed in writing.
10.2 The Client is responsible for ensuring that the property is ready to receive deliveries and that suitable access and storage are available.
10.3 Where the site is not ready to receive goods, additional delivery, redelivery or storage costs may be charged to the Client.
10.4 We will take reasonable care when handling goods within our control but are not responsible for loss or damage caused by third-party delivery companies or circumstances outside our reasonable control.
11. Trades and Third Parties
11.1 The Client may appoint builders, tradespeople and contractors directly.
11.2 Unless we have expressly agreed to provide project management or contract administration services, those contractors are responsible for their own workmanship, performance, health and safety and contractual obligations.
11.3 We are not responsible for defects, delays or losses arising from work carried out by independent contractors or other third parties, except where such responsibility arises from our own acts or omissions.
12. Site Responsibility and Risk
12.1 Unless expressly agreed otherwise, the Client remains responsible for the property, its contents, site security and access.
12.2 We are not responsible for loss or damage to goods or property caused by third parties, transportation, site conditions or circumstances outside our reasonable control.
12.3 The Client is responsible for ensuring that the site is reasonably safe and accessible when we attend.
12.4 We reserve the right to postpone or withdraw from a site visit where we reasonably believe that conditions are unsafe.
13. Health and Safety
13.1 Where we are not responsible for managing construction works, the Client and/or appointed contractor is responsible for compliance with applicable health and safety requirements on site.
13.2 We are not responsible for site safety where we do not control site operations.
13.3 Where we are appointed to provide project management services, the extent of our responsibilities will be set out in the relevant Quotation.
14. Use of Design Information
14.1 Drawings, visuals, specifications and other design information are provided for the purposes described in our agreed scope.
14.2 Unless specifically stated otherwise, contractors remain responsible for verifying dimensions, site conditions, levels, structural requirements, services and buildability before commencing work.
14.3 Where information supplied by the Client or another third party is inaccurate or incomplete, additional work resulting from this may incur additional fees.
14.4 Design drawings and visualisations are intended to communicate design intent. They should not be treated as construction drawings unless expressly identified as such.
15. Costs and Budget Estimates
15.1 Any budgets, estimates or cost guidance provided by us are indicative unless expressly stated otherwise.
15.2 Actual costs may vary due to supplier pricing, contractor quotations, specification changes, availability, market conditions and unforeseen site conditions.
15.3 Final costs for construction and third-party services are determined by the relevant contractor, supplier or consultant.
15.4 We will endeavour to work within any agreed budget, but we cannot guarantee that third-party costs will remain within an indicative budget.
16. Programmes and Timescales
16.1 Any programme or estimated timescale provided by us is an indication only unless a specific deadline has been agreed in writing.
16.2 Timescales may be affected by Client decisions, design changes, contractor availability, supplier lead times, statutory approvals and other circumstances outside our reasonable control.
16.3 Where delays occur, we will endeavour to keep the Client informed and agree revised timescales where appropriate.
17. Design and Construction Outcome
17.1 We provide design and related services and do not warrant or guarantee the workmanship or quality of construction carried out by third parties.
17.2 Visualisations and drawings are design representations and may differ from the completed project due to materials, lighting, manufacturing tolerances, construction methods and other factors.
17.3 We will provide our services with reasonable care and skill and in accordance with the scope agreed with the Client.
18. Completion and Defects
18.1 Contractors and suppliers are responsible for the quality and performance of the goods or works they provide.
18.2 Where defects arise in third-party goods or works, we will provide reasonable assistance where this forms part of our agreed service, but responsibility for rectification rests with the relevant contractor or supplier.
18.3 Where we have been appointed to provide project management services, our responsibilities in relation to inspections, snagging and defects will be limited to the scope expressly agreed in the Quotation.
19. Client Responsibilities
The Client agrees to:
Provide accurate and complete information relevant to the Project.
Provide timely decisions, approvals and feedback.
Provide reasonable access to the property when required.
Ensure the property and site are reasonably accessible and ready for agreed works or deliveries.
Appoint suitably qualified contractors and consultants where required.
Notify us promptly of any changes that may affect the Project.
Make payments by the agreed due dates.
Review design information and provide approvals within a reasonable timeframe.
Delays or additional work resulting from failure to meet these responsibilities may affect the Project programme and may result in additional fees, where agreed.
20. Cancellation and Termination
20.1 Either party may terminate the Project by providing written notice, subject to any specific cancellation provisions agreed for the relevant service.
20.2 If the Project is terminated, the Client remains responsible for payment for services properly completed and for reasonable costs or commitments incurred up to the termination date.
20.3 We may suspend or terminate services where invoices remain unpaid or where there has been a material breach of these Terms & Conditions, subject to any applicable legal requirements.
20.4 Where the Client is a consumer, statutory cancellation rights will apply where applicable.
20.5 Where a consumer has a statutory right to cancel a contract entered into at a distance or away from our business premises, the relevant cancellation information will be provided before the contract is concluded.
20.6 Where the Client asks us to begin providing services during an applicable cancellation period, we may require the Client's express request to do so in accordance with applicable law.
20.7 Where a consumer exercises a valid cancellation right after services have begun, any amount payable will be calculated in accordance with applicable law and will reflect services properly provided up to the point of cancellation where permitted.
21. Intellectual Property
21.1 Copyright and intellectual property rights in our drawings, concepts, visuals, specifications and other original design work remain with Aimee Smith Design unless otherwise agreed in writing.
21.2 Once all relevant fees have been paid, the Client is granted a licence to use the agreed design information for the specified Project.
21.3 Design work may not be reproduced, adapted, reused for another property or commercially exploited without our written consent.
21.4 We may photograph completed Projects and use project imagery for our portfolio, website, social media and other marketing purposes unless the Client has requested otherwise in writing.
21.5 Where images contain identifiable people or personal information, we will obtain any permissions required before using them for marketing purposes.
22. Force Majeure
22.1 We will not be responsible for delays or failure to perform our services where this results from circumstances beyond our reasonable control, including severe weather, illness, supply chain disruption, industrial action, utility failure, government action or other unforeseen events.
22.2 Where such circumstances affect the Project, we will endeavour to notify the Client and agree revised arrangements where reasonably practicable.
23. Liability
23.1 Nothing in these Terms & Conditions excludes or limits liability where it would be unlawful to do so.
23.2 We will not be liable for indirect or consequential losses arising solely from third-party services, contractors, suppliers or circumstances outside our reasonable control, subject to any rights the Client may have under applicable law.
23.3 Subject to clause 23.1, our liability arising from our services will be limited to a reasonable amount having regard to the nature of the services and the fees paid or payable for the relevant services, except where a different limitation is required or permitted by law.
23.4 Nothing in these Terms & Conditions affects any statutory rights the Client may have as a consumer.
23.5 We maintain appropriate professional insurance for our business and services.
24. Complaints
24.1 We want to resolve any concerns promptly and professionally.
24.2 If you have a complaint about our services, please contact us in writing with details of the issue and the outcome you are seeking.
24.3 We will acknowledge your complaint and endeavour to respond within a reasonable timeframe.
24.4 Nothing in this complaints procedure limits any statutory rights the Client may have.
25. Acceptance and Governing Law
25.1 Acceptance of our Quotation or written instruction for us to commence the agreed services constitutes acceptance of these Terms & Conditions, subject to any specific terms stated in the Quotation.
25.2 If there is a conflict between these Terms & Conditions and a specific written agreement or Quotation, the specific written agreement or Quotation will take precedence to the extent of that conflict.
25.3 These Terms & Conditions are governed by the laws of Scotland.
25.4 Any dispute will be subject to the jurisdiction of the Scottish courts, subject to any applicable consumer rights.
